These Terms of Use govern your access to and use of NEBU’s AI-powered DevOps-as-a-Service platform, ensuring security, compliance, and transparency.

Welcome to NEBU LAH Sdn. Bhd. (“NEBU,” “Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our AI-powered DevOps-as-a-Service platform, including the AI agents (Stella and Pulsa), Cloud Operations Cockpit, website, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy ([Insert Link]). If you do not agree with these Terms, you must not use the Services.

1. Definitions

  • “User” or “you” refers to any individual or entity that accesses or uses the Services.

  • “Services” refers to the NEBU platform, including the AI agents (Stella and PULSA), Cloud Operations Cockpit, website, and any other tools or software provided by NEBU.

  • “User Data” refers to all information, logs, repositories, configurations, and other data processed through the Services.

  • “Open Source Components” refers to third-party open-source software used in NEBU’s Services under the Apache 2.0 License or MIT License.

  • “Zero Trust Approach” means that NEBU operates in a user-controlled security model where most actions are performed within the user’s selected Git repository or version control system.

2. Eligibility

By using the Services, you represent that:

  • You have the legal authority to enter into these Terms.

  • If you are using the Services on behalf of an entity, you have the necessary authorization to bind that entity.

  • You are not located in a jurisdiction where access to our Services is prohibited by law.

3. Account Registration and Security

  • Some features may require you to create an account. You must provide accurate and up-to-date information.

  • You are responsible for maintaining the security of your credentials.

  • You are responsible for all activity under your account.

4. Use of Services

4.1 Permitted Use

You may use the Services solely for lawful purposes, in compliance with these Terms, and in accordance with applicable laws and regulations.

4.2 Restrictions

You agree not to:

  • Use the Services in a way that violates any laws or regulations.

  • Reverse engineer, decompile, or modify our software.

  • Bypass security mechanisms or attempt unauthorized access.

  • Use the Services for malicious purposes, including cyberattacks or illegal data mining.

  • Use the Services in a manner that disrupts the infrastructure of NEBU or third parties.

5. Open Source Components

The Services incorporate open-source components licensed under Apache 2.0 License and MIT License. Your use of these components is governed by their respective licenses. NEBU makes no proprietary claims over these components.

6. Intellectual Property Rights

  • NEBU Ownership: All intellectual property rights in the Services, including trademarks, software, algorithms, and AI models (except open-source components), belong to NEBU LAH Sdn. Bhd.

  • User Data and Anonymized Contextual Metadata: You retain all rights to your User Data. NEBU does not store raw user data but may collect and process Anonymized Contextual Metadata, which refers to non-identifiable data derived from user interactions with the Services while preserving contextual infrastructure insights. This data is used strictly for AI model improvements, service performance optimizations, and security enhancements.

7. Data Privacy and Security

7.1 Data Processing and Storage

  • Most actions are performed within your selected Git repository (version control system).

  • Error and monitoring logs are stored on your cloud infrastructure.

  • Collected AI training data is anonymized to improve service functionality.

7.2 Security Measures

  • NEBU employs industry-standard security practices, including end-to-end encryption, zero-trust architecture, and decentralized authentication mechanisms.

  • You are responsible for securing your own cloud and repository infrastructure.

7.3 Collection and Use of Anonymized Contextual Metadata

  • NEBU may collect Anonymized Contextual Metadata, which consists of non-identifiable infrastructure and operational insights derived from user interactions with the Services.

  • This data does not contain personally identifiable information (PII) or sensitive company data but may include aggregated patterns, security events, and infrastructure usage trends.

  • The purpose of collecting Anonymized Contextual Metadata is to:

    • Enhance the accuracy and efficiency of NEBU’s AI-powered automation.

    • Improve cloud cost optimization, compliance tracking, and security features.

    • Conduct aggregated analytics for service reliability and performance enhancements.

8. Fees and Payment

Fees for using the Services are determined based on the subscription plan selected by the User during the registration and payment process. The details of the pricing, billing cycles, and features included in each plan are available at https://www.thenebu.com/pricing.

  • By subscribing to a plan, the User agrees to the applicable fees, payment terms, and renewal conditions as described at the time of registration.

  • All fees are non-refundable unless explicitly stated otherwise in a separate written agreement.

8.1 Enterprise Plans and Custom Terms

  • For Enterprise plans, specific terms and conditions, including pricing, service levels, and additional custom agreements, may be negotiated separately.

  • In case of conflict between this Terms of Use document and a signed Enterprise agreement, the terms of the Enterprise agreement shall prevail.

8.2 Changes to Pricing

  • NEBU reserves the right to modify pricing, subscription structures, or applicable fees at any time. Any pricing changes will be communicated to existing Users with prior notice, and continued use of the Services after such notice constitutes acceptance of the updated fees.

9. Third-Party Services

  • Our Services may integrate with or rely on third-party services (e.g., cloud providers, Git repositories).

  • We are not responsible for the security, availability, or reliability of these third-party services.

10. Termination

10.1 By User

Users may terminate their subscription at any time by:

  • Sending an email request to [email protected] with the subject line "Subscription Cancellation Request"; or

  • Clicking the "Cancel Subscription" button in the account settings (if available).

  • The termination will take effect at the end of the current billing period, provided that the cancellation request is made at least 24 hours before the start of the next billing cycle. If the cancellation is made less than 24 hours before renewal, the User will be charged for the upcoming billing period, and termination will be effective in the following cycle.

  • Upon receiving a cancellation request, NEBU reserves the right to contact the User to explore options for continuing the subscription. If no agreement is reached, the subscription will be terminated, and NEBU's data retention policies will be applied accordingly.

10.2 By NEBU

We may suspend or terminate your access to the Services if you:

  • Violate these Terms.

  • Engage in malicious or unauthorized activities.

  • Cause harm to our infrastructure or third parties.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

NEBU DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FULLY SECURE. USERS ARE RESPONSIBLE FOR IMPLEMENTING THEIR OWN SECURITY CONTROLS.

NEBU DOES NOT STORE RAW USER DATA OR DIRECTLY IDENTIFIABLE INFORMATION. ONLY ANONYMIZED CONTEXTUAL METADATA MAY BE PROCESSED FOR THE PURPOSES OF IMPROVING AI PERFORMANCE AND SERVICE OPTIMIZATION.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEBU, ITS AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NEBU’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE LAST TWELVE (12) MONTHS.

13. Indemnification

You agree to defend, indemnify, and hold harmless NEBU and its affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your violation of these Terms.

  • Your use of the Services.

  • Your infringement of any third-party rights.

14. Governing law and dispute resolution
